TIE-UP AGREEMENT

Between

Living Collective India Private Limited ("Platform")

and

The Vendor (as per business registration details) ("Vendor")

Effective Date: As per the date of acceptance by the Vendor on the platform.

1. Purpose of Agreement

This Tie-Up Agreement establishes the terms under which the Vendor will list and sell products/services on the Platform. The Platform acts solely as an intermediary providing technology, listing space, and payment facilitation.

2. Vendor Onboarding & KYC

The Vendor confirms that:

  • All documents provided (GST, PAN, FSSAI, Trade License, Brand Authorization, etc.) are genuine.
  • Vendor holds all required licenses to sell the listed products/services.
  • Vendor information may be shared with payment partners (Razorpay / Cashfree) for compliance verification.

3. Product Listing & Compliance

The Vendor agrees that:

  • All products/services comply with applicable Indian laws.
  • For food items, the Vendor will provide a valid FSSAI license.
  • For branded items, Vendor will provide brand authorization letters.
  • No counterfeit, illegal, restricted, or banned products will be listed.

4. Responsibilities of the Vendor

The Vendor shall:

  • Ensure product/service quality
  • Handle shipping, delivery, returns, and customer complaints
  • Provide invoices/tax documents to buyers
  • Maintain sufficient inventory
  • Adhere to timelines committed to customers

5. Responsibilities of the Platform

The Platform will:

  • Provide an online listing space
  • Facilitate digital payments (if applicable)
  • Provide vendor dashboard/reporting
  • Offer customer support for technical issues only

The Platform is not responsible for product quality, delivery, delays, damages, or disputes between Vendor and Buyer.

6. Payments & Settlement

Option A: Marketplace Model
The Platform will collect payments from customers and settle them to the Vendor after deducting agreed commission/charges.

Option B: Direct Pay (no settlement by platform)
Customers will pay the Vendor directly. The Platform does not handle money or settlement.

7. Returns, Refunds & Customer Issues

The Vendor accepts full responsibility for:

  • Returns and replacements
  • Refunds (if applicable)
  • Warranty claims
  • Customer satisfaction related to the product/service

The Platform is not liable for any disputes arising from the transaction.

8. Liability & Indemnity

The Vendor agrees to indemnify and hold harmless the Platform from all:

  • Claims
  • Losses
  • Damages
  • Legal actions
  • Regulatory penalties

arising from the Vendor's products, services, or actions.

9. Term & Termination

Either party may terminate this agreement with 7 days' written notice.

The Platform may terminate immediately if:

  • Vendor violates law
  • Sells counterfeit or illegal items
  • Uploads fraudulent documents
  • Receives repeated customer complaints

10. Jurisdiction

This Agreement is governed by the laws of India.
Any disputes will be subject to the exclusive jurisdiction of courts at Chennai, Tamil Nadu.

By registering your business on Living Collective India Private Limited, you acknowledge that you have read, understood, and agree to be bound by this Tie-Up Agreement.
